1.     PURPOSE

Technical Advice Connect (TAConnect) invites qualified vendors to submit quotes for the provision of Legal Services at the TAConnect office Abuja.

2.     GENERAL INFORMATION

Technical Advice Connect LTD/GTE (TAConnect) is a non-profit organization registered in 2021 and based in Nigeria to bring innovative solutions to the provision of Technical Assistance (TA) services across Africa. TAConnect was established by the Bill and Melinda Gates Foundation (BMGF) to deliver tailored and cohesive support for states in Nigeria by strengthening their PHC systems and enhancing PHC service delivery. As an innovative platform, we respond to state TA priorities to promote sustainable improvements in state Primary Healthcare (PHC) systems’ performance and increase uptake of Reproductive, Maternal, Newborn, Child, and Adolescent Health and Nutrition (RMNCAH+N) services. We foster a critical shift in TA delivery in Nigeria by working closely with states and funders to define issues, identify solutions, and provide the necessary skills and expertise to enhance the effectiveness, efficiency, and quality of health services. Our approach combines the strengths of a Technical Assistance (TA) hub and a service delivery partner, ensuring that our interventions are both strategic and impactful. We prioritize high-impact interventions and leverage data for decision-making to ensure that our efforts are targeted and effective.

3.     SCOPE OF SERVICES

The purpose of this Request for Quotation (RFQ) is to engage a competent legal services firm on a retainership basis, to support TAConnect in all legal matters for a one-year term, renewable based on satisfactory performance. The successful applicant must be authorized to do business in Nigeria, with experience with similar size entities and lines of business to TAConnect.

The selected law firm will be expected to provide the following services, including but not limited to:

  • Legal advisory on organizational governance, labor laws, tax laws, and donor compliance.
  • Review, drafting, and interpretation of contracts, MOUs, NDAs, and partnership agreements.
  • Legal representation and dispute resolution support.
  • Regulatory compliance and filings (CAC, etc.).
  • Advisory support on employment matters, disciplinary actions, and termination processes.
  • Support in policy review from a legal standpoint.

4.     ELIGIBILITY CRITERIA

Interested firms must meet the following minimum requirements:

  • Registration with the Corporate Affairs Commission (CAC) and relevant regulatory bodies.
  • A minimum of 7 years of practice with demonstrable experience providing legal support to NGOs, donor-funded organizations, or private sector firms.
  • At least 2 lawyers with valid practicing licenses and specialization in corporate/commercial law.
  • Evidence of similar past engagements within the last 5 years.
  • Demonstrated understanding of the NGO regulatory environment in Nigeria.

5.     QUOTATION SUBMISSION REQUIREMENTS

Interested firms should submit a quotation that includes the following:

  • Company profile and evidence of registration.
  • Description of the firm’s legal team, including lead counsel qualifications and experience.
  • Details of relevant experience (include client references).
  • Financial quotation:
    • Proposed annual retainership fee (exclusive of VAT).
    • Hourly rates for non-retainership tasks (if applicable). ▪ Other disbursement or additional cost considerations.
  • Validity period of the quotation (minimum of 60 days).
  • Copy of professional indemnity insurance (if available).

6.     EVALUATION AND AWARD 

The award will be made to a responsible offeror whose offer follows the RFQ instructions, meets the eligibility requirements, meets or exceeds the minimum required technical specifications, and is judged to be the best value based on a lowest-price, technically acceptable basis. 

Please note that if there are significant deficiencies or deviation from the specifications quoted and regarding responsiveness to the requirements of this RFQ, an offer may be deemed “non-responsive” and thereby disqualified from consideration. TAConnect reserves the right to waive immaterial deficiencies at its discretion.

It is anticipated that award will be made solely on the basis of these original quotations.

However, TAConnect reserves the right to conduct any of the following:

  • TAConnect may conduct negotiations with and/or request clarifications from any offeror prior to award.
  • While preference will be given to offerors who can address the full technical requirements of this RFQ, TAConnect may issue a partial award or split the award among various suppliers, if in the best interest of the TAConnect. 
  • TAConnect may cancel this RFQ at any time.

7.     SUBMISSION GUIDELINES

All quotations must be submitted electronically in PDF format to: [email protected]  with the Subject: RFQ for Legal Services Firm

Questions regarding the technical or administrative requirements of this RFQ may be submitted no later than 11:59:00pm local Abuja time on 15th of July 2025, by email to [email protected]. Questions must be submitted in writing; phone calls will not be accepted. Questions and requests for clarification—and the responses thereto—that TAConnect believes may be of interest to other offerors will be circulated to all RFQ recipients who have indicated an interest in bidding. 

Only the written answers issued by TAConnect will be considered official and carry weight in the RFQ process and subsequent evaluation. Any verbal information received from employees of TAConnect, or any other entity should not be considered as an official response to any questions regarding this RFQ.

8.     ADDITIONAL INFORMATION

  • Only shortlisted firms will be contacted.
  • TAConnect reserves the right to accept or reject any or all submissions without providing reasons.
  • Engagement is expected to commence by 1st August 2025.
