CALL FOR PROPOSAL: LEGAL CONSULTANT
PRIDE is a neutral, non-discriminatory, impartial Non-Governmental Organization (NGO) focused on alleviating human suffering by providing equal access to basic rights. PRIDE invites qualified legal consultants or law firms to submit proposals for the provision of legal services to strengthen the organization’s institutional framework and compliance mechanisms.
Scope of Work
The Legal Consultant serves as an external and internal advisor to ensure that PRIDE operates within the framework of applicable laws, policies, and ethical standards. The selected legal consultant will be responsible for the following tasks:
1. Legal Advisory
- Provide legal opinions and guidance to the Board of Trustees and Executive Management on governance, compliance, and operational matters.
- Advise on NGO regulations, corporate governance and obligations.
2. Compliance and Regulatory Support
- Ensure PRIDE complies with national and international laws applicable to NGOs, including CAC registration, tax obligations, labor laws, and donor regulations.
- Review and update governance policies Conflict of Interest, Financial Policy, and HR Policy.
3. Contract Management
- Review and negotiate contracts, MoUs, and partnership agreements with donors, vendors, and stakeholders.
- Mitigate risks by ensuring clear terms in service agreements, leases, procurement contracts, and employment contracts.
4. Dispute Resolution and Litigation Management
- Advise on dispute prevention and resolution strategies, including mediation and arbitration.
- Represent or liaise with external counsel on legal actions involving PRIDE.
5. Risk Management
- Identify legal risks and develop risk mitigation strategies for projects, fundraising, and community interventions.
- Monitor changes in laws and donor compliance requirements affecting NGO operations.
6. Organizational Governance
- Ensure Board resolutions, minutes, and organizational decisions comply with legal standards.
- Support in drafting and amending the Constitution and bylaws.
7. Intellectual Property & Data Protection
- Advise on the protection of PRIDE intellectual reputation and property (logo, publications, software).
- Ensure compliance with data privacy laws in relation to beneficiaries, donors, and staff data.
8. Due Diligence for Partnerships and Fundraising
- Review donor agreements, grant contracts, and fundraising activities for legal risks.
- Ensure fundraising practices adhere to anti-money laundering and counter-terrorism financing laws.
9. Support in Disciplinary and Termination Matters
- Guide HR and the Board on termination procedures, staff disciplinary actions, and grievance resolution in compliance with labor laws.
Expected Deliverables
- Updated and board-approved Constitution of PRIDE.
- Evidence of CAC compliance and updated certificates.
- Legal strategy and documents for asset recovery.
- Notarized and organized archive of legal and administrative documents.
Consultant Qualifications
- Legally registered legal practitioner or law firm in Nigeria.
- Current license to practice law.
- Demonstrable experience with NGO legal consulting, CAC processes, and asset recovery.
- Proven track record in providing institutional legal support and documentation services.

- Technical and financial proposal (maximum 5 pages).
- Profile or CV(s) of consultant(s) with relevant experience.
- Copy of practicing license or firm registration.
- At least two references or samples of previous, similar work.
